TERMS OF SERVICE
Director-y
Effective: May 2026
Please read these Terms of Service ("Terms") carefully before using our platform. By creating an account or accessing Director-y in any way, you agree to be bound by these Terms. If you do not agree, do not use the platform. These Terms constitute a legally binding agreement between you and Director-y ("we," "our," or "us"), a platform operated from Los Angeles, California.
Acceptance of Terms
By registering for, accessing, or using the Director-y application or website (collectively, the "Platform"), you confirm that you are at least 18 years of age, have the legal capacity to enter into this agreement, and agree to comply with these Terms and all applicable laws.
If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
Description of Service
Director-y is a professional networking platform for the film and television production community, including but not limited to directors, producers, cinematographers, crew members, actors, casting professionals, and industry service providers.
The Platform allows users to:
Create and manage professional profiles
Post and discover job opportunities, casting calls, and crew requests
Connect and communicate with other industry professionals
Share work samples, reels, and portfolio content
Access industry news, resources, and events
We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice.
3. Account Registration
To access most features of the Platform, you must create an account. You agree to:
Provide accurate, complete, and current information, including your real name
Only claim professional credits and experience you actually hold
Maintain the security of your password and account
Notify us promptly at hello@directory-app.com if you suspect unauthorized access
Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that contain false or misleading information.
4. User Content
4.1 Your Content
You retain ownership of any content you submit, post, or display on the Platform ("User Content"). By submitting User Content, you grant Director-y a non-exclusive, royalty-free, worldwide license to use, host, store, display, reproduce, and distribute that content solely for the purpose of operating and improving the Platform.
4.2 Content Standards
All User Content must comply with our Community Guidelines, which are incorporated into these Terms by reference. You represent and warrant that your User Content:
Is accurate and not misleading
Does not infringe any third-party intellectual property rights
Does not contain explicit, graphic, or adult material
Does not promote violence, illegal activity, or self-harm
Does not violate any applicable law or regulation
4.3 Content Removal
We reserve the right to remove any User Content that violates these Terms or our Community Guidelines, at our sole discretion and without prior notice.
5. Prohibited Conduct
You agree not to use the Platform to:
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Harass, threaten, bully, or intimidate other users
Discriminate against users based on race, gender, sexuality, religion, nationality, disability, or any other protected characteristic
Send unsolicited bulk messages or engage in spam
Post fraudulent job listings, fake casting calls, or misleading opportunities
Share another user's personal information without their consent
Engage in wage theft or exploitation of crew or talent
Attempt to access, scrape, or harvest data from the Platform without authorization• Introduce malicious code, viruses, or other harmful software
Circumvent or attempt to circumvent any security feature of the Platform
Use the Platform for any unlawful purpose
Violations may result in suspension or permanent termination of your account. Severe violations may be reported to law enforcement.
6. Off-Platform Conduct
Director-y takes the safety of its community seriously. Accounts found to be associated with documented on-set harassment, abuse, wage theft, or other serious misconduct may be suspended or removed even when the conduct occurred off-platform. We review each report on a case-by-case basis.
7. Fees and Payments
Certain features of the Platform may be offered on a paid basis. Where fees apply: All fees are displayed in U.S. dollars and are subject to applicable taxes Payment is due at the time of purchase unless otherwise stated Subscription fees are billed in advance on a recurring basis All sales are final unless otherwise required by law or expressly stated.
We reserve the right to change our pricing at any time. We will provide reasonable notice of price changes before they take effect.
8. Sponsorships and Advertising
Director-y may display sponsored content, advertisements, or partnership promotions on the Platform. Sponsored content will be labeled as such. We do not endorse third-party products or services advertised on the Platform. If you participate in a sponsored or promotional arrangement through the Platform, you are solely responsible for complying with applicable disclosure laws (including FTC guidelines) and the terms of your arrangement.
9. Intellectual Property
All content, features, and functionality on the Platform that are not User Content — including but not limited to the Director-y name and logo, software, design, and documentation — are the exclusive property of Director-y and are protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works of any Platform content without our express written permission.
10. Privacy
Your use of the Platform is also governed by our Privacy Policy, available within the app and at our website. By using the Platform, you consent to the data practices described in the Privacy Policy.
11. Third-Party Links and Services
The Platform may contain links to third-party websites or integrate with third-party services. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. Your use of third-party services is at your own risk and subject to their terms.
12. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, DIRECTOR-Y DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not verify the accuracy of user-submitted credentials, credits, or job listings.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DIRECTOR-Y AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability is limited to the extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Director-y and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right.
15. Termination
We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us at hello@directory-app.com. Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including Sections 9, 12, 13, 14, and 16.
16. Dispute Resolution
16.1 Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
16.2 Informal Resolution
Before filing a formal claim, you agree to first contact us at hello@directory-app.com and attempt to resolve the dispute informally. We will make good-faith efforts to resolve the matter within 30 days.
16.3 Binding Arbitration
If informal resolution fails, any dispute arising from or relating to these Terms or the Platform shall be resolved by binding arbitration administered by JAMS in Los Angeles, California, under its applicable rules. The arbitration shall be conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.
16.4 Class Action Waiver
You agree to resolve disputes with Director-y on an individual basis only. You waive any right to bring or participate in any class action, consolidated action, or representative proceeding.
16.5 Exceptions
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before the changes take effect. Your continued use of the Platform after that date constitutes acceptance of the updated Terms.
18. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and Director-y regarding the Platform.
Severability: If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.
